REFERRAL PROGRAM
1. Introduction
1.1. GOLDBACH PRIME is software provided by SnowBall LLC.
1.2. By using the Software, you agree to these Terms, which constitute a legally binding agreement between you and SnowBall LLC.
1.3. THESE TERMS OF USE CONTAIN VERY IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS. PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE SOFTWARE. BY USING THE SOFTWARE IN ANY WAY AND FOR ANY PURPOSE, WITH OR WITHOUT A CLIENT ACCOUNT AND FROM ANY DEVICE AND LOCATION, YOU AGREE AND CONFIRM THAT:
1.3.1. You have read and understood these Terms of Use and you accept and agree to be bound by these Terms of Use as they appear on each respective date that you use the Software.
1.3.2. You assume all the obligations set forth herein;
1.3.3. You are of sufficient legal age and capacity to use the Software;
1.3.4. You are not under the control of jurisdiction that explicitly prohibits the use of similar software;
1.3.5. You use the Software at your discretion and under your own responsibility.
1.4. If you do not agree with any part of these Terms, you must not use the Software.
2. ELIGIBILITY AND CONDITIONS FOR PARTICIPATION*
2.1 The Referral Partner must:
a) Be an active client of Goldbach Prime, having completed at least one trading session;
b) Be at least 21 years old;
c) Reside in a country not subject to international sanctions or included in the Company’s exclusion list.
2.2 Participation is subject to approval by the Company.
2.3 Upon approval, the Referral Partner will be granted access to a private dashboard and a unique referral link.
3. PRIVACY AND DATA SHARING*
3.1 The Referral Partner’s information (name, photo, country of residence, contact details) will be made available through a private, non-public referral link.
3.2 The Referral Partner is solely responsible for sharing or withholding this link.
4. COMMISSION STRUCTURE*
4.1 The standard commission rate is 20% of net fees collected from directly referred clients.
4.2 If commissions exceed \$50,000 over the last 12 months, the rate increases to 25%.
4.3 If commissions exceed \$100,000 over the last 12 months, the rate increases to 30%.
4.4 If earnings fall below a threshold, the commission rate will be adjusted accordingly.
4.5 Commission payments will be processed within 72 hours of fee collection.
5. NON-LIABILITY FOR CLIENT DEFAULT*
The Referral Partner will not be held liable in case of client default, including account loss, non-payment, or legal dispute.
6. CLIENT BENEFITS*
Clients referred by the Referral Partner will receive a 50% discount on fees for their first three trading sessions.
7. CASCADE REFERRAL CLAUSE*
If the Referral Partner was initially referred by another Referral Partner, 50% of the commissions earned for the first 6 months shall be transferred to the original referring partner.
8. PERFORMANCE REQUIREMENTS*
8.1 Within 3 months, the Referral Partner must generate at least \$500,000 in cumulative trading capital from referred clients.
8.2 Until this target is reached, only 25% of earned commissions will be paid; 75% will be withheld.
8.3 Upon reaching the target, the withheld 75% will be paid within 72 hours.
9. COMMISSION DURATION AND VALIDITY*
9.1 After meeting the initial target, commissions will be paid in full and without limitation as long as the referred clients remain active.
10. RANKING SYSTEM*
Referral Partners will be ranked as follows:
★: Accepted but has not yet reached the \$500,000 milestone
★★: Reached the \$500,000 milestone
★★★: Achieved 25% commission tier
★★★★: Achieved 30% commission tier
★★★★★: Top earner in the past 12 months (evaluated monthly)
11. GOVERNING LAW AND DISPUTES*
This Agreement shall be governed by and interpreted in accordance with the laws of UAE. Any disputes shall be subject to the exclusive jurisdiction of the courts of UAE.
